Terms of Service

1. Contracting Parties
These terms of service ("Terms") govern the relationship between:
- Bc. Martin Vlasák, a sole proprietor (OSVČ) registered in the Czech Republic under Company ID (IČO) 69530319, with registered office at Studnická 2115/53, Horní Počernice, 193 00 Praha 9, Czech Republic ("Provider", "Recofy")
- and the operator of an e-commerce store on the Shoptet platform who installs the Recofy application ("Merchant", "You").
2. Subject of the Service
Recofy is a SaaS application that displays personalized product recommendations on the Merchant's e-commerce store. The application uses Google Cloud Vertex AI Retail as its AI engine.
3. Formation and Duration of Agreement
3.1 The agreement is formed upon installation of the Recofy application from the Shoptet App Store.
3.2 The agreement is concluded for an indefinite period until terminated by either party.
3.3 The Merchant may terminate the agreement at any time by uninstalling the application or canceling the subscription through the Stripe Customer Portal.
4. Pricing and Plans
4.1 Plans are listed in our Pricing section.
The Provider is not a VAT payer (listed prices are final).
4.2 Credit model: One credit = one widget impression on the e-commerce store. Credits reset at the beginning of each billing period ("use it or lose it" — unused credits expire).
4.3 Auto-recharge: If the Merchant exhausts their credits, automatic top-up of a 10,000-credit pack can be enabled. The maximum number of auto-recharge purchases per month is configurable (default is 5).
4.4 Welcome credits: Upon first installation, the Merchant receives 10,000 credits free of charge.
4.5 Credit exhaustion: When credits are depleted, the widget stops displaying recommendations (no automatic debt-based billing occurs).
5. Billing
5.1 Subscriptions are processed through Stripe. Payment is charged automatically each month.
5.2 Invoices are generated automatically and delivered by email + available in the Stripe Customer Portal.
5.3 In the event of a failed payment, the Merchant has 3 retry attempts within 7 days. After failure, the subscription is canceled.
6. Merchant Obligations
The Merchant agrees to:
6.1 Hold a valid Shoptet license and comply with the Shoptet Terms of Service.
6.2 Have a functioning cookie consent banner (CMP) on their store that complies with GDPR. Recofy does not collect any events without user consent.
6.3 Not misuse the application for unfair competition, event flooding, or mining data about other users.
6.4 Pay the subscription fees on time.
7. Provider Obligations
The Provider agrees to:
7.1 Operate the service with 99.5% monthly uptime (SLA excluding scheduled maintenance).
7.2 Protect the data of Merchants and end users in accordance with the Privacy Policy.
7.3 Notify the Merchant at least 14 days in advance of any changes to pricing, terms, or sub-processors.
7.4 In the event of an outage lasting more than 24 hours, refund a proportional part of the subscription fee.
8. Limitation of Liability
8.1 The Provider is not liable for:
- Outages caused by third parties (Shoptet API, Google Cloud, Stripe).
- Incorrect recommendations resulting from data provided by the Merchant (e.g., improperly categorized products).
- Lost profits of the Merchant in the event of an outage.
8.2 The Provider's maximum liability is limited to 3 months' subscription fees paid by the Merchant.
8.3 The Provider is liable for intentional breach of contractual obligations or gross negligence.
9. Personal Data Processing
9.1 In providing the service, the Provider processes personal data of end users of the Merchant's e-commerce store as a data processor within the meaning of GDPR Article 28.
9.2 The processor–controller relationship is governed by a separate Data Processing Agreement (DPA), which forms an integral part of these Terms and is available upon request or at https://www.recofy.cz/dpa.
10. Confidentiality
Both parties agree to maintain confidentiality regarding business and technical information obtained during the course of cooperation.
11. Termination
11.1 The Merchant may terminate the agreement at any time without stating a reason (uninstall + cancel subscription).
11.2 The Provider may terminate the agreement:
- With 30 days' notice for any reason.
- Immediately in the event of a material breach of these Terms (e.g., non-payment exceeding 30 days, API abuse).
11.3 Upon termination, the Provider will delete the Merchant's data within 30 days (with the exception of accounting records, which are retained for 10 years under Czech law).
12. Final Provisions
12.1 This contractual relationship is governed by the laws of the Czech Republic.
12.2 Disputes shall be resolved by the competent courts in the Czech Republic (Provider's registered office — Prague).
12.3 If any provision is found invalid, the remaining provisions shall remain in effect.
